Terms of Service

These Terms of Service ("Terms") govern your use of Stensyl (stensyl.ai), operated by Archademia Ltd ("we", "us", "our"), a company registered in England and Wales. Company number: 13602105.

By creating an account or using Stensyl, you agree to these Terms and our Privacy Policy.

1. What Stensyl Is

Stensyl is a browser-based AI creative studio that provides access to multiple AI image, video, audio, 3D, and document generation models through a single platform. We do not develop all of the underlying AI models. We provide the interface, workflows, and infrastructure to use them, including both models we have developed in-house and models operated by third-party providers.

Our access to third-party AI models is governed by separate agreements between Archademia Ltd and those providers. The rules in these Terms reflect the obligations we operate under. You do not have a direct contractual relationship with our model providers by virtue of using Stensyl.

2. Accounts

2.1 You must be at least 18 years old to create an account. By creating an account, you confirm that you are at least 18 years old.

2.2 You are responsible for maintaining the security of your account credentials. We are not liable for any loss resulting from unauthorised access to your account.

2.3 One account per person. Sharing account credentials is not permitted.

2.4 You must provide accurate information when creating your account. We reserve the right to suspend accounts with false information.

3. Privacy

Your use of Stensyl is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data. By using Stensyl, you acknowledge that you have read and understood our Privacy Policy.

4. Subscriptions and Payments

4.1 Subscriptions. Stensyl is a paid service. Plans (Lite, Starter, Pro, Studio) are billed monthly or annually via Stripe. By subscribing, you authorise recurring charges at the rate displayed at checkout.

4.2 Subscription Credits. Each paid plan includes a monthly credit allocation. Subscription credits reset at the start of each billing period. Unused subscription credits do not roll over to the next period.

4.3 Top-Up Credits. Additional credit packs may be purchased at any time. Top-up credits do not expire and remain in your account until used, regardless of subscription status.

4.4 Credit Costs. Different AI models and output settings consume different amounts of credits. The credit cost of each generation is displayed on the generate button before you confirm. You will never be charged credits without seeing the cost first.

4.5 Pricing Changes. We may change subscription prices or credit costs with 30 days' written notice (via email). Price changes do not affect the current billing period of active subscriptions.

4.6 Taxes. Prices displayed may be exclusive of VAT or other applicable taxes, which will be added at checkout where required by law.

5. Cancellation and Refunds

5.1 Monthly Subscriptions. You may cancel a monthly subscription at any time. Cancellation takes effect at the end of the current billing period. You retain access until then.

5.2 Annual Subscriptions. You may cancel an annual subscription at any time. You retain access for the remainder of the annual period you have already paid for. No pro-rata refunds are provided for annual plans, except where required by law.

5.3 Top-Up Credits. Purchases of top-up credit packs are non-refundable once credits have been added to your account.

5.4 Failed Generations. If an AI generation fails due to a platform error (not a user error or a content filter rejection), the credits for that generation will be automatically refunded to your account.

5.5 UK Consumer Rights. If you are a consumer in the United Kingdom, you have the right to cancel a subscription within 14 days of purchase under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, provided you have not used the service. If you begin using the service during this period, you acknowledge that you may lose this cancellation right.

5.6 How to Cancel. Subscriptions can be cancelled directly from your account dashboard. No phone calls, no emails, no forms required.

5.7 What Credits Represent. Credits represent a licence to consume third-party AI compute resources that Stensyl pays for on your behalf. Once a credit has been spent on a generation, the underlying compute has been purchased from our providers and cannot be returned.

5.8 No Refunds for Consumed Credits. Refunds are not issued for consumed credits under any circumstances. Notwithstanding clause 5.3, we may at our sole discretion issue a partial or goodwill refund where minimal or no usage has occurred and the request is made in good faith within 14 days of purchase. This is a discretionary gesture, not an entitlement, and creates no general obligation to refund in other cases.

5.9 Chargebacks and Payment Disputes. Initiating a chargeback or payment dispute with your bank or card issuer without first contacting us will result in your account being frozen pending review. Account access is restored only after the dispute is resolved in good faith with our support team. Filing a dispute instead of contacting support first is treated as a breach of these Terms and may result in permanent account termination.

6. Acceptable Use

You agree not to use Stensyl to:

  • 6.1 Generate content that is illegal under the laws of England and Wales or your local jurisdiction.
  • 6.2 Generate content depicting child sexual abuse material (CSAM) or the sexual exploitation of minors in any form.
  • 6.3 Generate content intended to harass, threaten, defame, or intimidate any person.
  • 6.4 Generate content that infringes the intellectual property rights of others, including using copyrighted images, audio, or video as inputs without authorisation.
  • 6.5 Generate deepfakes or misleading content intended to deceive, defraud, or manipulate public opinion.
  • 6.6 Attempt to reverse-engineer, extract, or replicate the AI models accessible through the platform.
  • 6.7 Use automated tools (bots, scrapers, scripts) to access the platform or generate content at scale beyond your subscription limits, or use the platform in a manner that places unreasonable load on our infrastructure or that of our model providers.
  • 6.8 Resell, redistribute, or sub-licence access to the platform or its underlying AI models without our written permission.
  • 6.9 Generate content that violates the content policies of the underlying AI model providers. The rules we set out in these Terms reflect those content policies. A reference guide to our current model providers is available at stensyl.ai/providers.

We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice. Violations of 6.2 and 6.5 in particular will result in immediate termination and may be reported to relevant authorities.

7. Intellectual Property and Output Ownership

7.1 Your Inputs. You retain all rights to any images, sketches, audio, or other content you upload to the platform. By uploading content, you grant us a limited licence to process it for the purpose of providing the service (generation, storage, display in your account).

7.2 AI-Generated Outputs. To the extent permitted by applicable law, you own the outputs generated through your use of the platform on paid plans. We do not claim ownership of your generated content.

7.3 Commercial Use. Outputs generated on paid plans may be used commercially, in client presentations, marketing materials, portfolios, publications, and any other lawful purpose. This right is granted by Stensyl and flows from the agreements we hold with our model providers. It is subject to the content restrictions set out in Section 6 and the provider rights disclosure in Section 7.4.

7.4 Model Provider Rights. Some of the third-party AI model providers whose models are accessible through Stensyl retain rights to use content processed through their systems. For example:

  • Kling (Kuaishou): Retains a permanent, royalty-free licence to use generated content for AI model training and promotional purposes.
  • Runway: Reserves the right to use inputs and outputs for model training and improvement on non-enterprise API plans.
  • ElevenLabs: Retains a perpetual licence to create derivatives from voice data for model improvement.
  • Google (Imagen / Veo): Embeds an invisible SynthID digital watermark in all outputs identifying them as AI-generated. This does not restrict your use of the content.

These are the obligations Stensyl operates under in providing you access to those models. They affect the real-world scope of "you own your outputs" and you should be aware of them. See stensyl.ai/providers for links to provider terms if you wish to review them.

7.5 Copyright Status of AI Outputs. AI-generated content may not be eligible for copyright protection in all jurisdictions. Under current UK law, the position is unsettled. Under current US law, purely AI-generated content without substantial human creative input is not copyrightable. We make no representations about the copyright status of outputs in your jurisdiction.

7.6 No Guarantee of Uniqueness. AI models may generate similar or identical outputs for similar prompts submitted by different users. We do not guarantee that your outputs will be unique.

7.7 Our IP. The Stensyl platform, brand, interface, and all associated intellectual property remain ours. These Terms grant you a licence to use the platform, not ownership of any part of it.

8. Third-Party AI Model Providers

8.1 Stensyl provides access to AI models operated by third-party providers including fal.ai, Google, Runway, Anthropic, OpenAI, ByteDance, ElevenLabs, Meshy, Black Forest Labs, Kuaishou, Perplexity, and World Labs, among others. This list may change as we add or remove models.

8.2 Our access to these models is governed by separate B2B agreements between Archademia Ltd and each provider. These agreements govern what we can do, and by extension, what we make available to you. You do not have a direct contractual relationship with our model providers by virtue of using Stensyl.

8.3 The content restrictions, commercial use rights, and limitations described in these Terms reflect the obligations we operate under in those provider agreements. Where we have imposed a restriction, such as the Seedance 2.0 content rules in Section 13, it is because we are required to do so under our agreement with that provider, or because we have chosen to adopt that policy in the interests of our members.

8.4 We will maintain a reference page at stensyl.ai/providers listing our current model providers and links to their terms of service, privacy policies, and acceptable use policies. This page is provided for transparency and information. You are not a party to those provider terms.

8.5 We select providers based on output quality, reliability, and data handling practices, but we do not control their models, infrastructure, or policies. Changes to a provider's terms, capabilities, or availability may affect features available on Stensyl.

9. Availability and Limitations

9.1 We aim to keep the platform available 24/7 but do not guarantee uninterrupted service. Downtime may occur for maintenance, updates, or circumstances beyond our control.

9.2 AI generation depends on third-party model providers. If an underlying model becomes unavailable, we will endeavour to provide alternatives but cannot guarantee identical results. Models may also be removed from the platform entirely if a provider discontinues the model, changes licensing terms, or terminates our access.

9.3 Generation quality, speed, and output characteristics vary by model and are subject to change as AI models are updated by their providers.

9.4 We do not guarantee that AI-generated outputs will be accurate, appropriate, or suitable for any particular purpose. You are responsible for reviewing all outputs before use.

10. Content Retention and Deletion

10.1 Generated content is stored in your account for your access. You can delete individual generations at any time from your dashboard.

10.2 When you delete your account, we remove all your stored files from our infrastructure, delete any third-party resources created on your behalf (such as cloned voices), and cascade the deletion across our database. Details on retention periods and deletion timelines are set out in our Privacy Policy.

11. Indemnification

You agree to indemnify, defend, and hold harmless Archademia Ltd and its directors, officers, employees, and agents from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to:

  • your use of the platform or any outputs you generate;
  • your breach of these Terms;
  • your violation of any third-party rights, including intellectual property rights or rights of publicity or privacy;
  • any claim by a third-party AI model provider arising from your use of the platform in breach of these Terms or the content policies described herein;
  • your violation of any applicable law or regulation; or
  • any content you upload, submit, or generate through the platform.

This indemnification obligation will survive termination of your account and these Terms.

12. Liability

12.1 To the maximum extent permitted by law, our total liability to you for any claims arising from your use of the platform is limited to the amount you have paid us in the 12 months preceding the claim.

12.2 We are not liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, or business opportunities.

12.3 We are not liable for the content of AI-generated outputs or any consequences arising from your use of those outputs.

12.4 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under English law.

13. Seedance 2.0 (ByteDance Video Generation)

In plain English: Seedance 2.0 is a video generation model made by ByteDance (the company behind TikTok). It has strict content filters. You must not attempt to generate copyrighted characters, real people, or deepfake content. A unique identifier tied to your Stensyl account is sent with every Seedance request, and we may be required to identify you to ByteDance if your usage is flagged. These terms apply only to Seedance 2.0. Your other models on Stensyl are not affected.

13.1 Content Restrictions. You must not use Seedance 2.0 to generate:

  • (a) Recognisable copyrighted characters, including but not limited to characters from Marvel, DC Comics, Disney, Pixar, Star Wars, Warner Bros., Paramount, Sony Pictures, Netflix, or any other rights holder.
  • (b) Likenesses of real people, whether celebrities, public figures, or private individuals. Photographic reference images containing real faces will be automatically rejected.
  • (c) Deepfake content: videos designed to deceive viewers about a real person's actions or speech.
  • (d) Content that impersonates any real person, brand, or organisation.
  • (e) NSFW, sexually explicit, or gratuitously violent content.

These restrictions are enforced by ByteDance's content filtering system in addition to Stensyl's own Acceptable Use policy (Section 6). Attempting to circumvent these filters is a violation of these Terms and may result in immediate account suspension.

13.2 End User Identification. In accordance with our distribution agreement with ByteDance via fal.ai, we pass a unique identifier with every Seedance 2.0 generation request. This identifier is linked to your Stensyl account. We maintain logs of Seedance 2.0 generation requests including prompt text, reference file types, timestamps, and generation status. Upon request from ByteDance or fal.ai, we may be required to identify users associated with specific generation requests, or restrict a user's access to Seedance 2.0.

13.3 Content Filter Behaviour. Seedance 2.0's content filters may reject prompts that do not violate any policy. These false positive rejections are a known limitation of the model. Stensyl is not responsible for content filter decisions made by ByteDance's systems.

13.4 Credits and Rejected Generations. Generations rejected by ByteDance's content filters before processing begins will not consume credits. If a generation begins processing and is then flagged or fails partway through, credits may be consumed. This is consistent with our general credit policy (Section 5.4).

13.5 Limitation of Liability. Seedance 2.0 is provided by ByteDance and hosted via fal.ai. Stensyl acts as an access provider and does not control the model's capabilities, content filters, or underlying training data. Stensyl is not liable for content filter rejections, output quality variations, or service interruptions affecting Seedance 2.0 specifically.

13.6 Suspension. We reserve the right to revoke your access to Seedance 2.0 specifically, without affecting your access to other models on Stensyl, if your usage violates these Terms or if we receive a restriction request from ByteDance or fal.ai.

14. Business Transfers

In the event of a merger, acquisition, or sale of all or substantially all of our assets, your account and associated data may be transferred to the successor entity. We will notify you of any such transfer via email before your data is transferred or becomes subject to different terms.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or a notice on the platform at least 14 days before they take effect. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
